Terms of Service

1. Acceptance of the agreement

By visiting the Youdian website, applying for the beta, or using the Youdian service, you confirm that you have read and agree to these terms and the Privacy Policy.

If you use the service on behalf of a company or other organization, you confirm that you are authorized to accept these terms on its behalf.

Where a commercial contract signed separately between your organization and us conflicts with these terms, the contract prevails.

2. Description of the service

Youdian is an AI customer relationship graph CRM for B2B sales teams. Its core capabilities include: WorkLog voice / text capture, AI entity recognition and automatic backlinks, customer profiles, knowledge cards and a growing knowledge base, and AI answers and predictions.

Youdian is currently in MVP private beta:

• features keep evolving; we may add, adjust, or retire capabilities, and will give advance notice of major changes;
• during the beta we do not offer a formal availability commitment (SLA); enterprise customers may agree otherwise in a commercial contract.

3. Accounts and security

• provide true and accurate information when registering, and update it promptly when it changes;
• keep your account credentials safe; you are responsible for actions taken through your account; contact us immediately if you discover unauthorized use;
• in a team account, administrators can manage members, permissions, and data ownership; after a member leaves, the customer materials they entered remain in the team knowledge base and are handed over according to the team's process.

4. Your data and license

The content you enter or upload in Youdian — WorkLog, files, customer and project information, and the profiles and knowledge cards generated from them — belongs to you or your organization.

To provide the service to you, you grant us a license to store, transcribe, recognize, link, analyze, and display that content; this license is limited to the purpose of providing the service to you and your team.

You warrant that the content you enter is lawful, does not infringe third-party rights, and that you have obtained the necessary authorization for any information about others it contains (see Section 9 of the Privacy Policy).

You can export your data at any time; after the service ends, we provide a 30-day export window.

5. Acceptable use

When using Youdian, you must not:

• enter, upload, or distribute content that violates laws and regulations;
• infringe others' intellectual property, trade secrets, or personal privacy;
• reverse-engineer the service, scrape data, or perform bulk automated collection;
• resell the service, or use Youdian's capabilities to offer a substantially similar service to others;
• interfere with or disrupt the normal operation of the service, or circumvent security or access controls.

If you violate these rules, we may suspend or terminate the service to you depending on the severity.

6. AI output and disclaimer

Customer profiles, action suggestions, risk alerts, and answers are generated by AI from your team's records, with supporting citations where possible. But AI output may contain errors, be outdated, or have gaps:

• AI output is for reference only and does not constitute legal, financial, investment, or other professional advice;
• use your own judgment for business decisions based on your actual situation; before important decisions, we recommend tracing back and checking the original records (the product supports citation traceback);
• we are not responsible for decisions made in reliance on AI output or their consequences.

7. Fees

• current pricing is as published on the website pricing page: Free, Team (¥99 / user / mo), and Enterprise (custom);
• quotas and discounts during the beta may change, with advance notice; a price change does not affect service within a period already paid for;
• the detailed rules for payment, invoicing, and refunds will be published at general commercial availability; the enterprise edition is governed by its commercial contract.

8. Intellectual property

• the Youdian platform itself — including the software, interface, brand marks, and technology — belongs to us; you may not use Youdian's trademarks and brand elements without written permission;
• your content belongs to you (see Section 4);
• suggestions and feedback you submit through the feedback community or other channels may be used by us, free of charge, to improve the product, without creating any obligation to you.

9. Changes, suspension, and termination

• we may update, suspend, or terminate some features; for major changes that affect your normal use, we will give advance notice;
• you may stop using the service and export your data at any time;
• if you seriously breach these terms, we may suspend or terminate the service;
• after the service ends, we provide a 30-day data export window; after that we delete or anonymize the data per Section 7 of the Privacy Policy.

10. Disclaimer and limitation of liability

During the beta the service is provided "as is"; we do not guarantee that it will be uninterrupted, error-free, or fully meet your expectations.

To the maximum extent permitted by law: we are not liable for indirect, incidental, or lost-profit damages; our aggregate liability to you is limited to the total fees you actually paid us in the 12 months before the dispute arose.

This section does not exclude any liability that cannot be excluded or limited by law.

11. Governing law and dispute resolution

These terms are governed by the laws of the People's Republic of China (mainland only).

For disputes arising from these terms, the parties will first negotiate in good faith; if negotiation fails, the dispute will be resolved by litigation in the competent People's Court at the operator's location.

12. Miscellaneous

• if any part of these terms is held invalid, the remaining parts stay in effect;
• operator: the Youdian team (the formal registered entity and filing information will be disclosed on this page before general commercial availability);
